GNEREAL
1. This User Agreement (“Agreement”) is a contract between TECSCOPE, the Technical Solutions Providers (TSP) and Custmers (Parties) who are registering for using the TECSCOPE platform. Parties must read, agree to, and accept all of the terms and conditions contained in this Agreement to be a User of our website located at www.tecscope.net or the Site Services (defined in the Site Terms of Use).
2. Subject to the conditions set forth herein, TECSCOPE may, in its sole discretion, amend this Agreement and any of the other agreements that comprise the Terms of Service at any time by posting a revised version on the Site. TECSCOPE will provide reasonable advance notice of any amendment that includes a Substantial Change (defined below), by posting the updated Terms of Service on the Site, providing notice on the Site, and/or sending you notice by email. If the Substantial Change includes an increase to Fees charged by TECSCOPE, TECSCOPE will provide at least 30 days’ advance notice of the change, but may not provide any advance notice for changes resulting in a reduction in Fees or any temporary or promotional Fee change. Any revisions to the Terms of Service will take effect on the noted effective date (each, as applicable, the “Effective Date”).
3. Parties understand that by using the site or site services after the effective date, agree to be bound by the terms of service, including the arbitration provision of this agreement if you do not accept the terms of service in its entirety, you must not access or use the site or the site services after the effective date except as permitted by the site terms of use. if you agree to the terms of service on behalf of an entity or agency, or in connection with providing or receiving services on behalf of an entity or agency, you represent and warrant that you have the authority to bind that entity or agency to the terms of service and agree that you are binding both you and that entity or agency to the terms of service. in that event, “Parties” will refer and apply to you and that entity or agency.
4. TSP is a freelancer or a company represented by an authorized single point of contact provided that are capable of providing technical Solutions related to energy industries including oil, gas, refining, petrochemical, power or water treatment. The technical Solutions include consultancies, field service, technologies or knowledge related to the indicated industries.
5. Customer is an employee of an operating company or organizations operating in fields related to the energy industries including oil, gas, refining, petrochemical, power or water treatment.
6. The Parties shall attempt in good faith to resolve any dispute or claim arising out of or relating to this Agreement. Any dispute, controversy or claim arising out of or relating to this Agreement, or the breach or termination or invalidity thereof, which is not settled by agreement between the parties shall be finally settled in accordance with the Arbitration Regulations and the Rules for Implementation of the Arbitration Regulations for the Kingdom of Saudi Arabia, together with any amendments thereto which may be issued from time to time, by three neutral and impartial arbitrators, one to be appointed by each party and the third to be appointed by the two so chosen.
REGISTRATION AND ACCEPTANCE
1. By registering to use Tecscope the Site or Site Services (an “Account”), by using the Site Services after the Effective Date, or by clicking to accept the Terms of Service when prompted on the Site, you agree to abide by this Agreement and the other Terms of Service.
2. To access and use certain portions of the Site and the Site Services, you must register for an Account. Subject to the Site Terms of Use, certain portions of the Site are available to Site Visitors, including those portions before your Account registration is accepted.
3. Tecscope reserves the right to decline a registration to join Tecscope or to add an Account of any type (i.e., as a customer or TSP), for any reason, including supply and demand, cost to maintain data, or other business considerations. If you create an Account on behalf of a company, you represent and warrant that are authorized to enter into binding contracts, including the Terms of Service, on behalf of the represented company or organization.
4. Privacy is important to Tecscope and information provided by parties will be handled in accordance with our Privacy Policy, which is part of the Terms of Service, and applicable law.
5. For registering to create an Account to join the Tecscope, you must complete the User Profile (“Profile”), which you consent to be shown to other Users and, unless you change your privacy settings, to be shown to the public. You agree to provide true, accurate, and complete information on your Profile and all registration and other forms you access on the Site or provide to us and to update your information to maintain its truthfulness, accuracy, and completeness. You agree not to provide any false or misleading information about your identity, location, business, capabilities, or the services provided and to promptly correct any such information that is or becomes false or misleading.
TECSCOPE ROLE & RESPONSIBILITIES
1. TECSCOPE mainly makes the Site and Site Services available to enable Technical Solutions Providers (TSP) and Custmers to connect directly with each other.
2. TECSCOPE does not introduce TSP to Custmers, select technical solution, or recommend TSP for Custmers. Through the Site and Site Services, TSP may be notified of Custmers that may be seeking the services they offer, and Custmers may be notified of TSP that may offer the services they seek; at all times, however, Users are responsible for evaluating and determining the suitability of any technical service or solution.
3. If a customer decides to enter into a Contract or purchase a solution, the Contract/P.O is directly between the custmers and TSP. TECSCOPE is not a party to that Contract. Parties acknowledge, agree, and understand that TECSCOPE is not a part to the relationship or any dealings between custmers and TSP.
4. While Tecscope will make all efforts to ensure that all registered TSP are competent and reliable, custmers are solely responsible for: (a) ensuring the accuracy and legality of any business proposal; (b) determining the suitability of the proposed solution (such as any interviews, vetting, background checks, or similar actions); (c) negotiating, agreeing to, and executing any terms or conditions of Service Contracts; (d) capable of performing the required Services; and/or (e) meeting the agreed upon financial commitments.
5. Parties acknowledge, agree, and understand that they are solely responsible for assessing whether to enter into a Service Contract with another User and for verifying any information about another User, including Composite Information (defined below).
6. TECSCOPE does not make any representations about or guarantee the truth or accuracy of any TSP or Customer listings or other User Content on the Site; does not verify any feedback or information provided by Users; and does not perform background checks on or guarantee the work of TSP.
7. Parties acknowledge, agree, and understand that TECSCOPE does not, in any way, supervise, direct, control, or evaluate TSP or their work and is not responsible for any Project, Project terms or technical service outcomes.
8. TECSCOPE makes no representations about and does not guarantee, and parties agree not to hold TECSCOPE responsible for, the quality or reliability of the acquired solutions; the qualifications, background, or identities of custmers; the ability of TSP to deliver Technical Solutions; the ability of Custmers to pay for Solutions; User Content and statements or posts made by Users; or the ability or willingness of a TSP to actually complete a transaction.
9. While TECSCOPE may provide certain basic check on TSP or custmers profiles, such checks are not a guarantee or warranty of quality or ability or willingness of the TSP to perform a Service or provide a Solution and is not a guarantee of any kind, including, the quality of Services or Project.
CONFIDENTIALITIES OBLIGATIONS:
1 Parties shall use the CONFIDENTIAL INFORMATION provided through TECSCOPE solely for the intended purpose only.
2. Parties understand and acknowledges that no other use of the CONFIDENTIAL INFORMATION for any other purpose is authorized or allowed under the terms of this Agreement.
3. Parties agree to use reasonable care to secure, protect and prevent unauthorized acquisition, use, dissemination, or disclosure of the CONFIDENTIAL INFORMATION. Such care is the same care normally used to protect trade secrets, confidential or proprietary information, and shall include reasonable steps to:
(a) restrict access of CONFIDENTIAL INFORMATION to such persons who need to know the same in connection with the allowed use, as described in Paragraph 2 above.
(b) Ensure that employees, contractors, agents and consultants with access to CONFIDENTIAL INFORMATION comply with the terms of this Agreement.
(c) Prevent such CONFIDENTIAL INFORMATION from being disclosed to any other third party unless otherwise agreed in writing by the authorized representatives.
1. Parties agree that the CONFIDENTIAL INFORMATION disclosed or provided to them through TELESCOPE shall remain the exclusive property of the original owner and shall promptly return all CONFIDENTIAL INFORMATION disclosed, or provided along with all copies and excerpts, if any, upon completion of the services if requested.
4. Parties shall not be required to maintain in confidence any portion of the CONFIDENTIAL INFORMATION that:
(b) prior to disclosure was already in the public domain
(a) subsequent to such disclosure, becomes part of the public domain or is rightly received under no obligation of confidence from a third party.
5. Parties agree not to make any publicity release general disclosures to others, or other announcements concerning the nature of the activities under evaluation without the written approval.
6. Parties shall not assign or otherwise transfer any interest in this Agreement relative to the CONFIDENTIAL INFORMATION, or RESULTS without the prior written consent. Any purported assignment without such consent is null and void.
7. Any and all notices, consents, demands or other communications required or permitted to be given by one Party to the other under this Agreement shall be done by the authorized representative of such Party.
8. It is agreed by all parties hereto for themselves and all persons claiming under or through them that the governing law of this Agreement, including the arbitration clause, shall be the law of Saudi Arabia.
9. While all parties have acknowledged and agreed to the confidentiality agreements during the registration process, all parties shall understand and agree that all posted information in tecscope may be seen by other users or TSP. therefore, Tecscope is not responsible for any release of any information or data posted by all parties in tecscope.
FINANCIAL OBLIGATIONS:
1. Custmers can register to create an account in the Tecscope website and use the services free of charge.
2. Technical Solutions Providers shall pay the membership fee ($ 100 per month) for registering as a TSP in the Tecscope platform unless it was explicitly waived by Tecscope . TSP also is obligated to pay 3% commission of the total price of any executed business deal initiated through TECSCOPE.
Ø Technical Solutions Providers shall pay the membership fee immediately after being notified by TECSCOPE that the request for the submitted signup was accepted.
Ø The 3% commission payment shall be processed immediately after receiving the first payment from the custmers for providing the technical Solution.
Ø The transactions will be through the payment method specified by TECSCOPE owner.
Ø Failures to meet the financial obligations described above, will result on immediate suspension or termination of the membership. Subsequently, TECSCOPE reserves the right to use possible legal means to acquire the financial benefits resulting from executing business deals through TECSCOPE platform by the registered technical Solution providers.
